27/2019 Conclusion of conditional sales agreements and establishment of warranties

The Management Board of CPD S.A. (“Issuer”) informs that subsidiaries of Issuer on 20 December 2019 concluded a conditional agreement for sale of the perpetual usufruct of right to the properties:

  1. 7/120 Gaston Investments spółka z ograniczoną odpowiedzialnością sp. k. with its registered office in Warsaw, plots no. 120/6, 120/13, 120/7, 120/8 and 120/12, zone no. 2-09-09, located in Warsaw, Ursus District to Aurec Capital Development Poland sp. z o.o. with its registered office in Warsaw. The selling price has been set at PLN 19 million. 7/120 Gaston Investments spółka z ograniczoną odpowiedzialnością sp.k., as warranty, have been established the contractual joint mortgage up to PLN 2,700,000.00 established by on the properties located in Warsaw, identified in the Land and Mortgage Register no. WA1M/00412696/0 and no. WA5M/00457639/8 kept by the District Court for Warsaw-Mokotów in Warsaw, 13th Division for Land and Mortgage Register;
  2. 19/97 Gaston Investments spółka z ograniczoną odpowiedzialnością sp. k. with its registered office in Warsaw, plot no. 97, zone no. 2-09-09, located in Warsaw, Ursus District to Agra Development sp. z o.o. with its registered office in Warsaw. The selling price has been set at PLN 8,3 million. 19/97 Gaston Investments spółka z ograniczoną odpowiedzialnością sp.k. established the contractual mortgage up to PLN 1,200,000.00 established by on the property located in Warsaw, identified in the Land and Mortgage Register no. WA1M/00283129/1, kept by the District Court for Warsaw-Mokotów in Warsaw, 13th Division for Land and Mortgage Register.

In addition, the Management Board announce that it has been informed that subsidiaries of Issuer granted security for claims for the return of advance payments made by Agra Development sp. z o.o. with its registered office in Warsaw, in connection with preliminary sale agreements, with a total value of 23,2 milion, leading to the sale of the right to properties located in Warsaw in the Ursus district.

These warrienties include:

  • contractual mortgage up to PLN 2,800,000.00 established by 6/150 Gaston Investments spółka z ograniczoną odpowiedzialnością sp.k. on the properties located in Warsaw, identified in the Land and Mortgage Register no. WA1M/00454073/3 and no. WA1M/00338197/9, kept by the District Court for Warsaw-Mokotów in Warsaw, 13th Division for Land and Mortgage Register,
  • contractual mortgage up to PLN 153,000.00 established by 18 Gaston Investments spółka z ograniczoną odpowiedzialnością sp.k. on the property located in Warsaw, identified in the Land and Mortgage Register no. WA1M/00283412/2, kept by the District Court for Warsaw-Mokotów in Warsaw, 13th Division for Land and Mortgage Register,
  • contractual mortgage up to PLN 7,321.54 established by 18 Gaston Investments spółka z ograniczoną odpowiedzialnością sp.k. on the property located in Warsaw, identified in the Land and Mortgage Register no. WA1M/00454074/0, kept by the District Court for Warsaw-Mokotów in Warsaw, 13th Division for Land and Mortgage Register,
  • contractual mortgage up to PLN 1,000,000.00 established by 20/140 Gaston Investments spółka z ograniczoną odpowiedzialnością sp.k. on the property located in Warsaw, identified in the Land and Mortgage Register no. WA1M/00233090/3, kept by the District Court for Warsaw-Mokotów in Warsaw, 13th Division for Land and Mortgage Register.

The Issuer will inform about the conclusion of final agreements performing the concluded Agreements in a separate current report.

25/2019/KOR Correction of current report No. 25/2019

CPD SA Management Board informs that in Current Report No. 25/2019 published on 30 October 2019, there was a mistake in indicating incorrect date of concluding a conditional agreement for sale of the perpetual usufruct of right to the properties right by the Issuer’s subsidiaries, ie:

instead of: “30 November 2019”,

should be: “30 October 2019“.

For that reason, the correction of the above-mentioned current report is made.

15.2 the Decree of Minister of Finance dated March 29, March 2018 on current and periodic information published by issuers of securities and conditions for recognizing as equivalent information required by law of nonmembers of state.

26/2019 Conclusion of Final Sale Agreement Rights to perpetual usufruct of a real estate owned by a subsidiary of the Issuer

In reference to current reports no. 41/2018 of 15 November, 2018 and no. 25/2019 of 30 October, 2019 the Management Board of CPD SA (“Issuer”) informs that subsidiaries of the Issuer 2/124 Gaston Investments spółka z ograniczoną odpowiedzialnością sp. k. with its registered office in Warsaw and 3/93 Gaston Investments spółka z ograniczoną odpowiedzialnością sp. k. with its registered office in Warsaw (“Sellers”) 5 December 2019 concluded final agreement for sale of the right of perpetual usufruct of the properties consisting of plot no. 124/2, zone no. 2-09-09 with an area of 10,726 m2, and plot no. 93/3, zone no. 2-09-09 with an area of 25,830 m2 located in Warsaw, Ursus District (“Agreement”) to NEWTOWNS spółka z ograniczoną odpowiedzialnością and NEOVITA NOVA spółka z ograniczoną odpowiedzialnością.

The condition for the conclusion of final sale agreement was the failure of the President of Capital City of Warsaw to the right of first refusal to this property and land plot no. 124/2 and 93/3. In connection with the fact that the President of Capital City of Warsaw did not use the above right, the condition is considered fulfilled.

The selling price of perpetual usufruct rights has been set at PLN 70,669,350.

The remaining provisions of the Agreements concluded by the Sellers do not differ from the standards commonly applicable to this type of contracts.

25/2019 Conclusion of Conditional Sale Agreement of Rights to perpetual usufruct of a real estate owned by subsidiaries of the Issuer

In reference to current reports no. 41/2018 of 15 November, 2018, the Management Board of CPD SA (“Issuer”) informs that subsidiaries of Issuer 2/124 Gaston Investments spółka z ograniczoną odpowiedzialnością sp. k. with its registered office in Warsaw and 3/93 Gaston Investments spółka z ograniczoną odpowiedzialnością sp. k. with its registered office in Warsaw (the “Sellers”), 30 October 2019 concluded a conditional agreement for sale of the perpetual usufruct of right to the properties consisting of plot no. 124/2, zone no. 2-09-09 with an area of 10,726 m2, and plot no. 93/3, zone no. 2-09-09 with an area of 25,830 m2 located in Warsaw, Ursus District (“Agreement”) to NEWTOWNS spółka z ograniczoną odpowiedzialnością and NEOVITA NOVA Spółka z ograniczoną odpowiedzialnością (“Purchasers”).

According to the provisions of the Local Master Plan, the real estate is in majority intended for services and multi-family housing.

The condition for the conclusion of final sale agreement is the failure of the President of Capital City of Warsaw to the right of first refusal to this property and land plot no. 124/2 and 93/3.

The remaining provisions of the Agreements concluded by the Seller do not differ from the standards commonly applicable to this type of contracts.

24/2019 Changes in the management board

The Management Board of CPD S.A. (“the Company”) informs, that today received from Mrs. Elżbieta Wiczkowska the resignation from the function of the President of the Company’s Management Board. The resignation shall take effect on the day of the next meeting of the Supervisory Board of CPD S.A., on the agenda of which will be the adoption of a resolution on the election of the President of the CPD S.A. Management Board. Furthemore, Mrs Wiczkowska remains in the composition of the Management Board as a Member.

The Management Board also informs that on September 23, 2019, the Supervisory Board adopted the resolution regarding the appointment Mr. Colin Kingsnorth, member of the Management Board of CPD S.A. to act as the President of the Management Board.
