Management Board of CPD S.A. (hereinafter the “Company”), informs that on 18 March 2022, the Company submitted a notification to the Polish Financial Supervision Authority in connection with Art. 69 of the Act on public offering and the conditions for introducing financial instruments to an organized trading system and on public companies of 29 July 2005 (Journal of Laws No. 184, item 1539, as amended).

Management Board of CPD S.A. (hereinafter the “Company” or “Issuer”) informs that today the Company received the decision of the District Court for the Capital City of Warsaw in Warsaw, XIII Commercial Division of the National Court Register issued on March 14, 2022 on registration by the court of amendments to the Issuer’s Articles of Association and changes in the Company’s share capital in connection with the resolutions adopted by the Extraordinary General Meeting of the Company on October 18, 2021 (submitted by The Company to the public in the current report No. 32/2021 of October 18, 2021):

1. Changes in connection with the content of Resolution No. 4 of the Extraordinary General Meeting of the Company of October 18, 2021 on the reduction of the share capital of CPD S.A. and changes to the Company’s Articles of Association:

4 section 1 of the Company’s Articles of Association received a new, following wording:

1. The share capital of the Company amounts to PLN 896,618.50 (say: eight hundred ninety six thousand six hundred and eighteen zlotys fifty groszy) and is divided into 8,966,185 (say: eight million nine hundred sixty six thousand one hundred eighty five) series AA shares with a nominal value of PLN 0.10 (ten groszy) each.

The above amendments to the Articles of Association became effective from the date of their registration in the register of entrepreneurs, which took place on 14 March 2022.

2. Changes in the share capital in connection with the content of Resolution No. 3 of the Extraordinary General Meeting of the Company of October 18, 2021 on the redemption of own shares of CPD S.A. – as a result, a total of 17,404,946 (in words: seventeen million four hundred four thousand nine hundred and forty six) own shares marked with ISIN PLCELPD00013 code, entitling to exercise 17,404,946 votes (in words: seventeen million four hundred and four thousand nine hundred and forty-six) were redeemed.

Accordingly, the share capital of the Company currently amounts to PLN 896,618.50 (say: eight hundred ninety six thousand six hundred and eighteen zlotys fifty groszy) and is divided into 8,966,185 (say: eight million nine hundred sixty six thousand one hundred eighty five) series AA shares with a nominal value of PLN 0.10 (ten groszy) each, which entitle to exercise a total of 8,966,185 votes (say: eight million nine hundred sixty six thousand one hundred eighty five).

In addition, in the attachment we present to the public the consolidated text of the Articles of Association prepared by the Issuer in its current wording.

Management Board of CPD S.A. (hereinafter the “Company”) announces the publication dates of periodic reports in 2022:

1. Annual reports:
– stand-alone annual report for 2021 – 27 April 2022
– consolidated annual report for 2021 – 27 April  2022

2. Half year report:
– consolidated half year report for the first half of 2022, containing half year condensed financial statements – 29 September 2022

3. Quarterly reports:
– consolidated quarterly report for the first quarter of 2022, containing quarterly financial information – 30 May 2022
– consolidated quarterly report for the third quarter of 2022, containing quarterly financial information – 28 November 2022

In addition, the Management Board of the Company informs that the Company will not submit the following reports:

– a quarterly report and a consolidated quarterly report for the fourth quarter of 2021 – in connection with the publication of the annual report for 2021 on 27 April 2022, in accordance with § 79 section 2 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and the conditions for recognizing as equivalent information required by the law of a non-member state (consolidated text, Journal of Laws of 2018, item 757) .

– a quarterly report and a consolidated quarterly report for the second quarter of 2022 – in accordance with § 79 section 2 of the above-mentioned Regulation.

§ 80 section 1 of the Regulation of the Minister of Finance of March 29, 2018 on current and periodic information published by issuers of securities and the conditions for recognizing as equivalent information required by the law of a non-member state (consolidated text, Journal of Laws of 2018, item 757).
