The Management Board of CPD S.A., with its registered office in Warsaw [“Issuer”], hereby announces that on January 26, 2026, the Issuer’s subsidiary, CPD Capital LLC, with its registered office in Jefferson, Louisiana, USA [“CPD Capital”], acquired all ownership rights in Jacksonville Rental Properties LLC, with its registered office in Jacksonville, Florida, USA [“Company”]. <\/span><\/p>\n

The company\u00a0acquired\u00a0by CPD Capital owns a property\u00a0located\u00a0in Jacksonville, Florida, USA,\u00a0operating\u00a0under the name “Arbor Oaks Apartments.” The property\u00a0comprises\u00a0a plot of approximately 8,000 square meters (8,000 sq ft) developed with a residential building with a total area of\u00a0<\/span>\u200b\u200b<\/span>approximately 4,300 square meters (4,300 sq ft), divided into 56 rental apartments. The value of the property owned by the Company is USD 7,056,000.<\/span><\/p>\n

CPD Capital\u00a0acquired\u00a0the rights in the Company from Mr. Jaros\u0142aw Tadla for USD 2,490,000, calculated as the value of the property, which is the Company’s dominant asset, less the value of the Company’s liabilities, including the value of the Company’s loan of USD 4,400,000.<\/span><\/p>\n

The Issuer, CPD Capital, and Mr. Jaros\u0142aw Tadla have agreed that, in order to pay the purchase price for the rights in the Company, Mr. Jaros\u0142aw Tadla will acquire 2,816,813 Series D shares in the Issuer issued pursuant to Resolution No. 5 of the Extraordinary General Meeting of the Company of November 19, 2025, for a total issue price of PLN 9,013,801.60. Subsequently, the Issuer, CPD Capital, and Mr. Jaros\u0142aw Tadla will offset their respective receivables. As a result of this settlement, CPD Capital will become the owner of the rights in the Company in exchange for the Issuer’s shares. <\/span><\/p>\n

The acquisition of ownership rights in the Company\u00a0represents\u00a0another step towards the Company’s further development in line with the Issuer’s strategy for 2025-2028, which includes, among other things, owning residential rental properties in Florida, USA. <\/span><\/p>\n

The Company’s property\u00a0comprises\u00a0a total of 56 rental apartments. Currently, the apartments are 100% occupied. The Issuer estimates that CPD Capital will generate rental income of approximately USD 58,000.00 per month. <\/span><\/p>\n
