{"id":1868,"date":"2026-02-21T11:53:30","date_gmt":"2026-02-21T10:53:30","guid":{"rendered":"https:\/\/cpd.vh19322.vh.net.pl\/?post_type=current-report&#038;p=1868"},"modified":"2026-08-28T13:52:07","modified_gmt":"2026-08-28T11:52:07","slug":"informacja-o-nabyciu-praw-wlasnosci-spolki-posiadajacej-nieruchomosc-2","status":"publish","type":"current-report","link":"https:\/\/cpdsa.pl\/en\/relacje-inwestorskie\/raporty\/raporty-biezace\/szczegoly-raportu\/informacja-o-nabyciu-praw-wlasnosci-spolki-posiadajacej-nieruchomosc-2\/","title":{"rendered":"Information on the acquisition of ownership rights to a company owning real estate"},"content":{"rendered":"<p><span data-contrast=\"auto\">The Management Board of CPD S.A. with its registered office in Warsaw [&#8220;Issuer&#8221;] hereby announces that on February 20, 2026, the Issuer&#8217;s subsidiary, CPD Capital LLC, with its registered office in Jefferson, Louisiana, USA [&#8220;CPD Capital&#8221;], acquired all ownership rights in JJTA 19 LLC with its registered office in Jacksonville, Florida, USA [&#8220;Company&#8221;].<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"auto\">The company\u00a0acquired\u00a0by CPD Capital owns a property\u00a0located\u00a0in Jacksonville, Florida, USA,\u00a0operating\u00a0under the name &#8220;Ryar\u00a0Road Apartments.&#8221; The property\u00a0comprises\u00a0a plot of approximately 8,000 m\u00b2 with three residential buildings totaling approximately 646 m\u00b2, divided into 12 rental apartments. The value of the property owned by the Company is USD 1,536,800.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"auto\">CPD Capital\u00a0acquired\u00a0the rights in the Company from Mr. Jaros\u0142aw Tadla for USD 836,267.19, calculated as the value of the property, which is the Company&#8217;s dominant asset, less the value of the Company&#8217;s liabilities, including the value of the Company&#8217;s loan of USD 663,732.81.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"auto\">The Issuer, CPD Capital, and Mr. Jaros\u0142aw Tadla have agreed that, in order to pay for the acquisition of rights in the Company, Mr. Jaros\u0142aw Tadla will acquire 930,530 Series D shares in the Issuer issued pursuant to Resolution No. 5 of the Extraordinary General Meeting of the Company of November 19, 2025, for a total issue price of PLN 2,977,696.00. Subsequently, the Issuer, CPD Capital, and Mr. Jaros\u0142aw Tadla will offset their respective receivables. As a result of this settlement, CPD Capital will become the owner of rights in the Company in exchange for shares in the Issuer.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"auto\">The acquisition of ownership rights in the Company\u00a0represents\u00a0another step towards the Company&#8217;s further development in line with the Issuer&#8217;s strategy for 2025-2028, which includes, among other things, owning residential rental properties in Florida, USA.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n<p><span data-ccp-props=\"{}\">\u00a0<\/span><span data-contrast=\"auto\">By\u00a0acquiring\u00a0the Company&#8217;s shares, the Issuer is expanding its operations in the residential real estate rental industry\u00a0located\u00a0in Florida, USA.<\/span><span data-ccp-props=\"{}\">\u00a0<\/span><\/p>\n","protected":false},"template":"","meta":{"_acf_changed":false},"class_list":["post-1868","current-report","type-current-report","status-publish","hentry"],"acf":[],"_links":{"self":[{"href":"https:\/\/cpdsa.pl\/en\/wp-json\/wp\/v2\/current-report\/1868","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/cpdsa.pl\/en\/wp-json\/wp\/v2\/current-report"}],"about":[{"href":"https:\/\/cpdsa.pl\/en\/wp-json\/wp\/v2\/types\/current-report"}],"wp:attachment":[{"href":"https:\/\/cpdsa.pl\/en\/wp-json\/wp\/v2\/media?parent=1868"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
