Management Board of the company under the name CPD S.A. with its registered office in Warsaw [hereinafter referred to as the Issuer], in reference to the information provided in ESPI Current Report No. 42\/2025 on November 3, 2025, regarding the conclusion of an agreement [hereinafter referred to as the Agreement] regarding the establishment of the basic terms of the transaction for the acquisition by the Issuer from Mr. Jaros\u0142aw Tadla of all rights in the companies JJTA3 Real Properties LLC and JJTA12 Real Properties LLC, hereby announces to the public that no binding agreement regulating the acquisition of rights in the aforementioned entities was concluded within the timeframe agreed in the Agreement, i.e., by March 31, 2026, and furthermore that the Agreement expired on March 31, 2026.<\/p>\n
The Issuer indicates that,\u00a0as a result of\u00a0the Issuer’s verification of the\u00a0aforementioned entities, in particular the properties they own, the Management Board has decided not to pursue the acquisition of rights in JJTA12 Real Properties LLC, which owns the property operating under the name Jammes Rd Apartments.<\/span><\/p>\n Simultaneously, despite the\u00a0expiration\u00a0of the Agreement, the Management Board is still considering\u00a0acquiring\u00a0the rights in JJTA3 Real Properties LLC, which owns the property\u00a0operating\u00a0under the name Woodlands Apartments. However, the potential acquisition is contingent on a final positive verification of the entity, in particular the property itself, as well as renegotiation of the terms of its acquisition.
