On February 20, 2026, CPD Capital LLC, a subsidiary of CPD S.A. based in Jefferson, Louisiana, USA, acquired 100% ownership interest in JJTA 19 LLC, based in Jacksonville, Florida, USA.<\/strong><\/p>\n

JJTA 19 LLC owns the property operating under the name \u201cRyar Road Apartments,\u201d which consists of 3 residential buildings, divided into 12 apartments, with a total area of approximately 646 m2, located on a plot of approximately 8,000 m2.<\/p>\n

The property is valued at USD 1,536,800, and its current occupancy rate stands at 83%.<\/p>\n

CPD Capital acquired its rights in the Company from Mr. Jaros\u0142aw Tadla for USD 836,267.19, a price calculated as the value of the aforementioned property\u2014the Company\u2019s primary asset\u2014minus the value of its liabilities, including a loan held by the Company in the amount of USD 663,732.81.<\/p>\n

Pursuant to the agreement, Mr. Jaros\u0142aw Tadla will acquire 930,530 shares for a total issue price of 2,977,696.00 PLN. Subsequently, CPD S.A., CPD Capital, and Mr. Jaros\u0142aw Tadla will enter into a mutual set-off of their respective claims, as a result of which CPD Capital will become the owner of rights in the Company in exchange for the Issuer\u2019s shares.<\/p>\n
