On January 26, 2026, CPD Capital LLC, headquartered in Jefferson, Louisiana, USA (“CPD Capital”), a subsidiary of CPD S.A., acquired 100% ownership interest in Jacksonville Rental Properties LLC, based in Jacksonville, Florida, USA, which owns the “Arbor Oaks Apartments” residential property located in Jacksonville, Florida.

The property comprises 56 residential units intended for rent, and its market value is 7.06 million USD. The current occupancy rate for the apartments is 100%.
CPD Capital acquired ownership rights in the Company from Mr. Jarosław Tadla for USD 2,490,000, a price determined based on the value of the real estate—which constitutes the Company’s primary asset—less its liabilities, including a bank loan of USD 4,400,000.
The transaction will be settled on a non-cash basis in exchange for Series D shares of CPD S.A. To this end, Mr. Jarosław Tadla will acquire 2,816,813 shares, issued pursuant to Resolution No. 5 of the Company’s Extraordinary General Meeting held on November 19, 2025, for a total issue price of 9,013,801.60 PLN. At the same time, the parties will mutually offset their respective claims.
As a result of this settlement, CPD Capital will acquire 100% ownership interest in the Company in exchange for shares of CPD S.A.
This investment represents another step toward implementing CPD S.A.’s Strategy for 2025–2028, which includes, among other things, building a portfolio of residential rental properties in the U.S. market.
For the CPD Group, the acquisition of these shares marks its entry into the residential real estate rental segment in the U.S. market, with a particular focus on Florida. This investment is in line with our strategy of building a portfolio of assets that generate stable revenue, – said Rafał Kijonka, President of the Management Board of CPD S.A.
“We estimate that, thanks to this investment, CPD Capital will generate monthly rental revenue of approximately $58,000.00,” added the CEO.
