CPD S.A. is consistently implementing its Development Strategy. The company has entered into an agreement to acquire shares in Osiedle Kmicica Sp. z o.o., the owner of an attractive property in Częstochowa, located near Jasna Góra.
Under the terms of the agreement, CPD acquired a majority stake, i.e., 204 shares, representing 51% of the company’s share capital. The shares were acquired as a non-cash contribution in exchange for 1,020,000 Series E ordinary bearer shares of CPD S.A., issued at a total issue price of 3,264,000.00 PLN, i.e., a unit price of 3.2 PLN.
Osiedle Kmicica Sp. z o.o. owns a plot of land with an area of 1.1245 ha, located in Częstochowa near Św. Kingi Street, with an estimated market value of 6,869,900.00 PLN. According to the current Land Use and Development Plan, this area is designated for multi-family residential and commercial development. A zoning decision was issued for the property in 2018, authorizing the construction of up to six multi-family residential buildings and one commercial building of the aparthotel type.
“The attractive location in close proximity to Jasna Góra and the favorable development conditions offer CPD S.A. the potential to use the property for one of the purposes specified in the Company’s Development Strategy, specifically in the area of long-term leasing of hotel properties,” notes Rafał Kijonka, President of the Management Board of CPD S.A.

September 30, 2025 CPD S.A. announced the adoption of its Development Strategy for 2025–2028, whose main objective is to create Poland’s first modern REIT (Real Estate Investment Trust), which will build value for shareholders through a diversified portfolio of properties generating stable, long-term rental income.
