Company Begins Implementing the Investment Initiatives Outlined in Its Development Strategy – Launches the Process of Acquiring Real Estate

In the third quarter of 2025, the Company announced its Development Strategy for 2025–2028 and began stepping up its activities in the Polish and U.S. markets, with the aim of achieving its strategic goals.

CPD S.A.’s strategy is based on four pillars encompassing investments in:

  • Commercial real estate in Poland,
  • Residential rental properties in Florida, USA,
  • Real estate for technology investments (High-Growth segment),
  • Hotel real estate in Poland and Europe.

According to the plan, the Company’s investment portfolio is expected to reach a value of at least 1 billion PLN by the end of 2028. A key element of the Strategy is the creation of Poland’s first modern REIT (Real Estate Investment Trust), which aims to increase shareholder value through a diversified portfolio of properties generating stable, long-term rental income.

In the third quarter of 2025, the Company continued to carry out investment activities, primarily in Częstochowa and on the U.S. market. CPD S.A. acquired control of Wielki Bór Sp. z o.o., the owner of two commercial properties used for retail, service, warehouse, and office purposes, located on Bór Street in Częstochowa, with a total built-up area exceeding 4,000 m². At the same time, the Company plans to acquire a majority stake in Osiedle Kmicica Sp. z o.o., which owns a 1.1245-hectare land parcel with the potential to develop up to six multi-family residential buildings and an aparthotel. The relevant terms and conditions of the transaction have been agreed upon.

“The property’s proximity to Jasna Góra in Częstochowa and its favorable development conditions offer CPD S.A. the potential to use the property for one of the purposes outlined in the Company’s Development Strategy, specifically in the area of long-term hotel property leasing,” notes Rafał Kijonka, President of the Management Board of CPD S.A.

“Taking control of Wielki Bór enables CPD S.A. to expand in the commercial real estate leasing segment through a company that owns valuable assets generating stable revenue,” adds Rafał Kijonka.

The third quarter of 2025 also marks a significant step in the company’s expansion into the U.S. market. In October 2025, the Company entered into an agreement with Mr. Jarosław Tadla, a shareholder of CPD S.A., regarding the terms of a transaction to acquire rights in companies owning residential rental properties in Jacksonville, Florida: Woodlands Apartments (64 units) and Jammes Rd Apartments (54 units).

“The completion of the planned transaction will allow us to capitalize on the growing investment potential of the Jacksonville, Florida, market by generating rental income from residential properties there, and the expected rate of return aligns this investment with the key objectives of the Company’s Development Strategy for 2025–2028,” emphasizes Rafał Kijonka.

At the same time, in the third quarter of 2025, the Company continued negotiations regarding the terms of the indirect acquisition of the “Wratislavia Tower” commercial and office building, located in Wrocław in close proximity to the Market Square. CPD S.A. is currently analyzing the available financing options for this investment.

The third quarter of 2025 confirmed the strong momentum of CPD S.A.’s activities in the area of planned investment projects on both the Polish and U.S. markets. Completed acquisitions and advanced negotiation processes strengthen the foundation for further expansion of the asset portfolio in accordance with the 2025–2028 Development Strategy, which is intended to support shareholder value growth in the long term, adds the Company’s CEO.
