Company Acquires Commercial Real Estate in Częstochowa

CPD S.A. acquired control of Wielki Bór Sp. z o.o. (“WB”) by purchasing 306 shares, representing 50.17% of the share capital and voting rights at the shareholders’ meeting. As a result, CPD S.A. gained control of WB.

Wielki Bór sp. z o.o. owns two commercial properties located in Częstochowa in the vicinity of Bór Street. Both properties are occupied by buildings used for retail, services, warehousing, and office purposes. The total built-up area exceeds 4,000 m². The usable space on the properties is under long-term lease. Currently, approximately 30% of the total available space is leased.

The shares were acquired by the Company from Mr. Artur Błasik as a non-cash contribution, the total fair value of which is 8,152,742.95 PLN, to cover the 2,547,732 Series C shares of the Company subscribed for by Artur Błasik at an issue price totaling PLN 8,152,742.40. As declared by Mr. Artur Błasik, a shareholder of CPD S.A., the shares will be subject to a lock-up period of 18 months.

“The acquisition of these shares marks the first significant step toward the Company’s further development in accordance with the growth plan adopted on July 10, 2025, which calls for, among other things, the launch of long-term commercial real estate leasing operations in Poland,” says Rafał Kijonka, President of the Management Board of CPD S.A.

“The Company will therefore launch a new business in the commercial real estate leasing sector based on an entity that holds valuable assets generating stable revenue,” adds Rafał Kijonka.

By acquiring a significant portion of the shares as a non-cash contribution, the Company will not significantly increase its liabilities, which will enable it to continue developing freely.
